1. The Services
1.1. Nature of Agreement: The Company agrees to provide residential cleaning services ("the Services") to the Client at the address specified above.
1.2. Staffing and Relationship: The Client acknowledges that the Company uses a network of vetted, independent contractors (“the Angel”) to perform the Services. Nothing in this Agreement shall be construed as creating a relationship of employment, partnership, or agency between the Company and any Angel.
1.3. Identity and Vetting: All Angels introduced by the Company have undergone identity checks and hold a current, valid DBS (Disclosure and Barring Service) check at the time of engagement.
1.4. Right of Substitution: The Company reserves the right to replace the assigned Angel with another suitably qualified and vetted Angel at any time to ensure the Services are completed reliably.
1.5. Ironing Services: The Services may include the ironing of household linens only. The Company does not provide ironing services for items of clothing.
2. Fees and Payment
2.1. Service Fees: The Client agrees to pay the fixed fee specified in this Service Agreement for the agreed scope of Services. This fee represents the completion of the agreed task list.
2.2. Payment Methods and Terms:
(a) Automated Direct Debit (Preferred): To ensure our Angels are paid promptly and to minimize administrative costs, all payments are primarily collected via GoCardless. The payment process will be initiated 72 hours after the completion of each service.
(b) Manual Bank Transfer: The Client may choose to pay via bank transfer. Due to the manual reconciliation required, these invoices are Due on Receipt and are subject to a £5.00 Administrative Handling Fee per transaction.
(c) Cash: Cash must be paid directly to the Angel at the commencement of the service. Due to the manual processing required, cash payments are subject to a £5.00 Administrative Handling Fee per transaction. The Angel does not carry change for safety reasons; any overpayment will be credited to the Client’s account.
2.3. Collection Timing: For Direct Debit users, the Company will automatically initiate the collection following the 72-hour period.
2.4. Rate Reviews: The Company reserves the right to increase fees periodically, providing at least 30 days’ written notice. Continued use of the Services after this period constitutes acceptance of the new rate.
2.5. Late Payments & Interest:
(a) Suspension: The Company reserves the right to suspend Services immediately if a Direct Debit instruction is cancelled or if any manual payment (Bank Transfer/Cash) is not received by the due date.
(b) Interest: If any payment is not settled within 4 days (96 hours) of the Company notifying the Client of a failed attempt or overdue balance, the Company reserves the right to charge interest at the rate of 8% per annum above the Bank of England base rate.
(c) Late Admin Fee: A fixed fee of £10.00 will be applied to all accounts where an invoice remains unpaid for more than 7 days, representing the cost of manual debt recovery and administrative reminders.
(d) Recovery Costs: The Client shall be liable for all reasonable costs incurred by the Company in recovering unpaid debts, including legal or collection agency fees.
3. Cancellations and Access
3.1. Client Cancellation: The Client may cancel or reschedule a specific visit at any time. There is no notice period required and no cancellation fee.
3.2. Courtesy Notice: The Company politely requests as much notice as possible to manage Angels' schedules effectively.
3.3. Liability for Non-Access (Lockout): * (a) If the Angel arrives at the property but is unable to gain access, the Client remains liable for 100% of the Agreed Rate to cover the Angel's reserved time and travel costs.
(b) This fee will be collected automatically via the registered Direct Debit.
4. Statutory Right to Cancel (Cooling-Off Period)
4.1. The Right: Under the Consumer Contracts Regulations 2013, the Client has the right to cancel this Agreement within 14 days of signing.
4.2. Requesting Work During Cooling-Off: If the Client requests Services to start during this 14-day period, they must pay for the value of Services provided up to the point of cancellation.
5. Equipment, Supplies, and Liability
5.1. Equipment: Unless otherwise agreed, the Angel will provide standard cleaning products and equipment.
5.2. Use of Client’s Equipment: The Company is not liable for damage caused by inherent defects in Client-supplied equipment.
5.3. Satisfaction Guarantee: If the Client is not reasonably satisfied, notify the Company within 24 hours. We will arrange a re-clean of the disputed area at no cost.
5.4. Limitation of Liability: The Company is not liable for personal actions of the Angel outside the agreed scope of Services.
6. Non-Solicitation (Anti-Poaching)
6.1. Restriction: The Client agrees not to directly employ or engage any Angel introduced by the Company during the term of this Agreement and for 12 months thereafter.
6.2. Compensation: Breach of clause 6.1 incurs a Recruitment Fee of £500.00 as liquidated damages.
7. Termination of Agreement
7.1. Notice Period: The Client may terminate this Agreement by giving one (1) week written notice.
7.2. Immediate Termination: The Company may terminate immediately for serious breach, including harassment of the Angel or persistent payment failures.
8. General Provisions
8.1. Data Protection (GDPR): We will only share your name and address with the assigned Angel to facilitate the Services. Payment data is handled securely by GoCardless.
9. Jurisdiction
9.1 This Agreement is governed by the laws of England and Wales.
